Disclosure & Agreement for Services

CLIENT SERVICE AGREEMENT

Thank you for choosing Soundings, LLC.  We are dedicated to providing you with the very best, state-of-the-art services, with the highest degree of excellence and quality. 


(1) Meetings and Fees
This agreement, between Soundings, LLC (the “COMPANY”) or their assigns, and You (the “CLIENT”), will will continue for a minimum of one month.  The retainer fee for services shall be $500.00, payable in advance by check, prior to the day in which services are to commence, unless an alternative arrangement is agreed upon in writing.  The retainer fee covers four 45-minute scheduled coaching sessions each month (four total for the period covered) or a total of 180 minutes of coaching (whichever occurs first), unless otherwise agreed, plus unlimited brief (15 minutes or less) check-ins as needed via telephone or e-mail.  Upon completion of the initial one month, the fee for each subsequent month of services (four 45-minute scheduled coaching sessions or a total of 180 minutes of coaching--whichever occurs first) shall be $500.00, payable on the next occurrence of this day on each future month hereafter (unless otherwise agreed), and will continue until either party terminates the contract.  In the event of a serious illness or other emergency by the Client, the fee will be refunded on a prorated basis within 30-days of written request.

Meetings will be either in-person or by video-conference (i.e., Skype, etc.), or as mutually agreed upon. Your coach will make reasonable efforts to be available for additional in-person or video-conference meetings on an as needed basis; the fee for this additional time will be $145.00/45 minutes billed at a minimum of 15 minute increments, and prorated to the nearest quarter of an hour.  

(2)  Services Provided and Confidentiality
The services provided to the Client by the Company are mindfulness-based leadership training, coaching, and consultation (the Services).  Services are not directive advice, counseling, or psychotherapy.  

Services address collaboratively agreed upon goals driven by the Client, to assist in achieving professional or personal objectives.  These Services may include (but are not be limited to) values and goal clarification, improving motivation, assertive communication, work-life balance, healthy life-style management, mindfulness-training, as well as other strategies to assist the Client in achieving their goals.  

The Client's coach will review with the Client the progress achieved-to-date against the identified objectives after 6 hours of scheduled Service meetings.  A followup review will occur after 12 hours of scheduled meetings, or after the initial three months, and thereafter, every 6 weeks while the Client remains engaged in Services.

The content of any conversation between the Client and her/his coach during the coaching/consultation or training process will be completely confidential, unless otherwise agreed.  The Company will maintain this confidentiality to the extent permitted by law.  However, the Client understands that it is impossible for the Company to guarantee the protection or confidentiality of information that is transmitted electronically.  This is particularly true of e-mail, Internet-based communications, and information stored on computers that are connected to the Internet.

The content of any conversation between the Client and her/his coach during the coaching/consultation or training process will be completely confidential, unless otherwise agreed.  The Company will maintain this confidentiality to the extent permitted by law.  However, the Client understands that it is impossible for the Company to guarantee the protection or confidentiality of information that is transmitted electronically.  This is particularly true of e-mail, Internet-based communications, and information stored on computers that are connected to the Internet.

(3) Limits of Liability, Communication of Concerns, and Termination of Agreement
The success of the coaching engagement depends on the Client’s commitment and openness to the process.  The Client is responsible for her/his own achievements and success.  The Company cannot—and does not—promise that the Client will take any specific action or attain any specific goal(s).  As such, the success of the collaboration in achieving the Client's goals depends on the Client's willingness to be open to try new behaviors and approaches, as well as to get out of their comfort zone.  It is understood that the Company or your coach do not provide legal, accounting, tax planning services, etc.  It is therefore agreed that it is the Client's responsibility to follow up with other professional services as appropriate and necessary, and the Client agrees to hold the Company and/or their coach harmless from any actions or decisions taken by the Client as a result.

If the Client believes that coaching is not working as desired, they are strongly encouraged to communicate any concerns in a timely manner, so that the coach (or the Company where applicable) can take any reasonable steps to correct the problem, and to improve the likelihood the Client will achieve their goals and objectives.  If this is not successful, either the Client or the Company may terminate this Agreement.  In such an event, any monies paid in advance will be refunded on a prorated basis within 30-days of written request.

(4)  Miscellaneous
Please be on time to all appointments; the Client is responsible for initiating each scheduled contact with their coach.  If you, the Client will be late, kindly notify the coach in advance.  If you will miss an appointment, please notify the coach at least 24 hours in advance.  Appointments missed or canceled without 24 hours notice for reasons other than sudden illness or emergency, will only be rescheduled at the Company's discretion (and in the case the Company declines to reschedule, there is no refund for the missed appointment).  

The Company is highly motivated to help the Client achieve their goals.  In order to maximize the likelihood of this, we encourage you to make a commitment to the action plans you create, and further encourage you to follow through with tasks you have agreed to do, even if they are challenging.  

BY SELECTING THE TERMS OF SERVICE CHECKBOX, YOU ARE INDICATING THAT YOU HAVE REVIEWED THIS CLIENT SERVICE AGREEMENT AND INDICATES COMPLIANCE WITH THE ABOVE REQUESTS, AND AN UNDERSTANDING OF THE SERVICES TO BE PROVIDED.
